      TERMS & CONDITIONS OF PARTICIPATION
at the Exhibitions of IEC «MOLDEX­PO » S.A.

      (The integral part of the application-contract)

1. GENERAL PROVISIONS

1.1 The present “Terms & Conditions of Participation” arethe integral part of the Application-contract and are obligatory for the Exhibitor of the exhibition manifestation held by the Organizer.

2. PARTICIPATION REGISTRATION

2.1 The organization, which wishes to participate in the exhibition event, submits (to the address of the Organizer at least 1 month before stand’s mounting works) the following documentation:

§          application-contract;

§          “Terms & conditions of participation” duly signed;

§          application for additional services;

§          other forms (catalogue entry, hotel booking etc.).

2.2 The organization is considered to be registered as an Exhibitor (Participant), from the moment of signing of the Application-Contract, as well as Terms of Participation in the Exhibition.

2.3 The Exhibitor-organizer of a collective stand bears full responsibility in front of Organizer for the observance of “Terms & conditions of participation” by all participants of the collective stand.

2.4   Participation of a Sub-exhibitor is allowed in case of payment of registration fee.

3. EXHIBITION SPACE AND SERVICES RENDERED

3.1.   Exhibition and storage area (including outdoor exhibiting area), as well as exhibiting equipment are leased to the Exhibitor for the period of mounting, holding and dismantling of the exhibition.

3.2.   Usage of exhibiting area, art decoration of stands, as well as content of posters, texts, inscriptions should coincide with the exhibition themes. The Exhibitors’ self-maintained placement of advertising, informational and other materials beyond the limits of the stand is forbidden.

3.3. Exhibiting area ordered and not occupied 12 hours before the Exhibition opening is considered as free and the Organizer has the right to dispose the exhibition area at his discretion.  

3.4. The Exhibitor has no right to sublease the rented exhibition area.

3.5. The Organizer reserves the right to make changes in the placement of the Exhibitor’s stand on the floor plan.

3.6. The Exhibitor should submit all the application-forms for additional services not less than 2 weeks before the settled date of mounting works.

3.7.   If the Exhibitor cancels the services ordered, the Exhibitor is obliged to reimburse the amount of sum for the works effected.

4.      CONSTRUCTION AND ART DECORATION OF THE STAND

4.1 Construction and equipping of exhibition stands and offices are effected by the Organizer.

In cases if the construction works are effected by the Exhibitor or by any another subject, at least 2 weeks before mounting works the Organizer should consider the stand project, as well as technical expertise of the project.

4.2 Exhibiting stands are constructed within limits of the ordered exhibiting area of the Exhibitor.

4.3 If there is supposed to be constructed a two-floor stand, the additional payment amounted to 30% out of exhibiting stand area leased is to be charged.

5.           MOUNTING AND DISMANTLING WORKS

5.1     Mounting of the exhibition stands, art decoration and placement of the exhibits are effected within the stipulated terms and should be finished not later than 12 hours before the opening of the exhibition.

5.2     Mounting and decoration works are effected by the Exhibitor within the limits of the given exhibiting area, taking into consideration that the aisles should remain free.

5.3     Dismantling of the exhibition, exhibiting stand, as well as removal of the exhibits are effected after the exhibition closing.

6. FIRE PREVENTION RULES

6.1        The Exhibitor must observe “Fire prevention rules”, as well as safety precautions requirements and for their infringement bears responsibility in accordance with legislation-in-force.

6.2        All the connections to the stationery switching board, as well as to water and sewage systems are effected by the specialists of the Organizer.

6.3        It is not allowed to overstep ordered the power supply at the stand.

6.4        Smoking in the pavilions and at stands is strictly prohibited.

7. CATALOGUE, INFORMATION, ADVERTISING

7.1    Before the exhibition opening there is published an official catalogue. Exhibitors are obliged to place some brief information about the company's activity.

7.2      If the company doesn't submit the information in duly time, the Organizer publishes in the catalogue the information stored in the Organizer’s database, and has the right not to agree the information with the Exhibitor.

7.3     The Exhibitor could install sound advertising means at its stand only in case if there is a written agreement with the Organizer. It is prohibited to overstep the allowed level of 60 dB for sound tracks at stand.

8. ORDER OF PAYMENT SETTLEMENT

8.2       The Exhibitor is obliged to settle 100% payment for participation in the exhibition at least 20 days before mounting works, according to the issued invoice.

8.3       The Exhibitor is not allowed to participate in the Exhibition, in case of non-settlement of payment for the participation in duly time. The Exhibitor’s infringement of payment deadline gives the right to the Organizer to cancel the Exhibitor’s application-form for participation.

8.4       In case of the payment settlement after the deadline stipulated, the Exhibitor pays the fine at the rate of 0,1% from the amount of sum duly paid for each day of delay.

8.5       Additional services, ordered 24 hours before the Exhibition opening or during the Exhibition holding, are rendered after payment settlement at their double price.

8.6       If there are introduced any alterations of the Exhibitor stand’s design, the Exhibitor should effect the additional payment at the amount of 50% out of the mounting works if the design’s alterations occur 24 hours before the opening of the exhibition.

8.7       The Exhibitor must get within the dates of the exhibition holding tax bill of lading when there is the stamp or the power of attorney. Otherwise the Organizer has the right to send it within 10 days after the exhibition closing to the address stipulated in the application-contract.

9. RESPONSIBILITIES

9.1   The Organizer and the Exhibitor bear full responsibility in front of each other for non-fulfillment of the present “Terms and conditions” in accordance with legislation-in-force of the Republic of Moldova.

9.2     The Organizer ensures the 24-hour guarding of the pavilion, public order at the exhibition, but does not effect an individual guarding of the exhibits. In case of necessity the Exhibitor requests an individual guarding of its stand against the additional payment.

9.3     During the exhibition mounting and dismantle representatives of the Exhibitor are obliged to stay permanently at its stand.

9.4      The Organizer bears no responsibility in the following cases:

•      lost or damage of the exhibits and other material valuable possessed by the Exhibitor;

•      any losses resulted from the fire, natural disasters and other dangers.

9.5    In case of necessity the Exhibitor requests an individual guarding of his stand against the additional payment.

9.6     The Exhibitor bears full liability for breakage of the rented exhibition

equipment.

9.7     If any damage or loss of the Organizer's equipment or inventory occurs, the Exhibitor must indemnify it integrally within 10 days from the moment of its occurrence. In case that the debt is not paid in duly time, the Exhibitor is fined at the rate of 0,5% out of the damaged object’s cost per each day of delay.

9.8     In case of cancellation of participation in the exhibition after signing of the application-contract, the Exhibitor reimburses to the Organizer all the suffered expenditures caused from the preparation works for the Exhibition (advertising, mounting and dismantling of the stand etc. ) in the following volume:

§          50% out of cost of the requested exhibiting area, if announcement about cancellation occurred 30 days or less before the opening of the exhibition;

§          100% out of cost of the requested exhibiting area, if announcement about cancellation occurred 5 or less days before the opening of the exhibition.

10. LITIGATIONS

10.1. If there occur any disagreements between the Exhibitor and the Organizer, these disagreements are to be solved through negotiations. If there is not achieved any mutual agreement, the disputes are settled according to the legislation-in-force of the Republic of Moldova .

11 . OTHER

11.1 The Organizer and the Exhibitor have no right without a mutual agreement to hand over their rights and obligations of the “Terms and conditions” to any third Party.

11.2 The present “Terms and conditions” are made in 2 copies with the equal legal power.
